1. PURPOSE OF THE AGREEMENT

The purpose of this Agreement is to outline the terms under which the Business Development Partner (BDP) will promote and facilitate candidate and company subscriptions on the Hire You Soon Portal and earn commission based on successful sales and renewals.

2. COMMISSION STRUCTURE

The Company agrees to pay the BDP commission as follows:

2.1 Candidate Subscriptions

The BDP shall receive a 20% commission on every subscription sold under the Growth Plan or Premium Plan.

2.2 Company Subscriptions

The BDP shall receive a 20% commission on every subscription sold under the Basic Plan, Business Plan, or Enterprise Plan.

The Enterprise Plan involves a one-time fee and offers Lifetime Access.

2.3 Institute Subscriptions

The BDP shall receive a 20% commission on each candidate subscription sold under the Premium Plan, calculated on the offer price of INR 300 only.

2.4 Job Fair Subscriptions

The BDP shall receive a 20% commission on each subscription sold under the Job Fair Basic, Job Fair Pro, and Job Fair Premium plans.

2.5 Renewals

If a candidate or company renews their subscription on a yearly basis, the BDP will continue to receive a 20% commission for the renewed year.

2.6 Additional Benefit

A BDP who generates revenue of INR 50 Lakhs up to below INR 1 Crore shall be awarded an equity stake of 500 shares in Soonsoft Software Solutions Pvt. Ltd.

A BDP who generates revenue of INR 1 Crore or more shall be awarded an equity stake of 1,500 shares in Soonsoft Software Solutions Pvt. Ltd.

Revenue performance shall be calculated over a period of one (1) year from the date of execution of this Agreement. Only BDPs meeting the above criteria within this period shall be eligible for the equity stake.

3. COMMISSION PAYMENT TERMS

All commissions earned by the BDP will be calculated and verified by the Company on a monthly basis.

Commission payouts will be released on the 2nd day of every month for the preceding month’s confirmed subscriptions.

Payments will be made via bank transfer to the account details provided by the BDP.

Any chargebacks, cancellations, or fraudulent transactions will be deducted from future commissions.

4. MODIFICATION OF SUBSCRIPTION PLANS

Soonsoft Software Solutions Pvt. Ltd. reserves the right to modify, revise, or discontinue subscription plans applicable to Companies, Candidates, Institutes, or any other category at its sole discretion.

5. RESPONSIBILITIES OF THE BDP

• Actively promote the Hire You Soon Portal to potential candidates and employers.
• Use only Company-approved promotional materials and methods.
• Refrain from making false or misleading claims about the Company or its products.
• Maintain professionalism and ethical standards while representing the brand.

6. INTELLECTUAL PROPERTY RIGHTS

All trademarks, logos, content, and software related to Hire You Soon remain the sole property of Soonsoft Software Solutions Pvt. Ltd.

The BDP is granted a non-exclusive, non-transferable right to use Company brand materials strictly for promotional purposes during the term of this Agreement.

7. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and remain in force until terminated by either party with a 15-day written notice.

The Company reserves the right to terminate this Agreement immediately in case of misconduct, breach of terms, or misuse of Company branding.

8. CONFIDENTIALITY

The BDP agrees to keep confidential all business, customer, and operational information obtained during the course of this partnership and shall not disclose it to any third party without written consent from the Company.

9. NON-COMPETE CLAUSE

During the term of this Agreement and for five (5) years thereafter, the BDP shall not promote or engage with any direct competitor of the Hire You Soon Portal in any capacity.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the Courts of Calicut, Kerala.
